Terms of Service

1. About ClosingMoment

ClosingMoment is a proposal management platform that lets independent professionals and agencies create, share, and track proposals in real time. By creating an account or using any part of the service, you agree to these Terms of Service ("Terms"). If you do not agree, do not use the service.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use ClosingMoment. By using the service you represent that you meet these requirements.

3. Your Account

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at hello@closingmoment.com if you suspect unauthorised access.

4. Acceptable Use

You agree not to:

• Use the service for any unlawful purpose or in violation of any applicable law.
• Send spam, unsolicited bulk email, or harass any third party via the platform.
• Attempt to circumvent rate limits, authentication, or access controls.
• Reverse-engineer, decompile, or extract source code from the service.
• Impersonate another person or entity when creating proposals.

5. Payment Terms

Paid plans are billed monthly or annually in advance through Stripe Managed Payments, our Merchant of Record. Stripe is the seller of record for your purchase and is responsible for collecting and remitting any applicable sales tax or VAT, which is shown at checkout and may be added to or included in the listed price depending on your country. Prices are listed in US dollars and may be presented in your local currency at checkout. You may cancel at any time from your account settings; you will continue to have access until the end of the billing period. Refunds are governed by our Refund Policy, which includes a 14-day money-back guarantee on your first purchase. Partial billing periods are not refunded unless required by applicable law.

6. Free Plan Limits

The free plan includes up to 5 tracked proposals. Additional proposals require an upgrade to the Solo plan. We reserve the right to adjust free plan limits with 30 days' notice.

7. Content Ownership

You retain all ownership rights to the proposals, client data, and other content you create on ClosingMoment. You grant ClosingMoment a limited, non-exclusive licence to store and display that content solely to provide the service.

8. Limitation of Liability

To the maximum extent permitted by applicable law, ClosingMoment and its operators will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service. Our total liability for any claim arising from these Terms is limited to the greater of (a) the amount you paid us in the 12 months preceding the claim or (b) USD $50.

9. Termination

We may suspend or terminate your account if you materially breach these Terms. You may delete your account at any time from Settings → Advanced → Delete Account.

10. Governing Law

These Terms are governed by the laws of Portugal, and the courts of Portugal have exclusive jurisdiction over any dispute arising from them. Nothing here removes any non-waivable right you have under the consumer-protection law of your own country. If you purchased a paid plan, Stripe is the Merchant of Record for that transaction and its own terms additionally apply to the payment itself.

11. Changes to These Terms

We may update these Terms from time to time. We will notify registered users via email at least 14 days before material changes take effect. Continued use of the service after that notice constitutes acceptance of the revised Terms.
